1. Parties & Contract Formation

These Terms constitute a binding legal agreement between you (the individual or corporate entity using our website, products, or services) and Nation Chemicals SA (Pty) Ltd. ("Nation Chemicals"), a private company duly incorporated under the Companies Act 71 of 2008, with registered offices at Woodmead Office Park, Johannesburg, Gauteng 2191, South Africa. A contract is formed only when (a) we issue a written proforma invoice countersigned by you, or (b) payment is received and confirmed by our accounts department, whichever occurs first.

2. Products & Services

Nation Chemicals provides industrial-grade chemical formulations and related services for the lawful restoration of currency, forensic applications, and banking operations, including but not limited to:

• SSD Chemical Solution (various concentrations and bottle sizes)
• Activation Powder (Sodium-based, Humine formulation)
• Vectrol Paste and Universal Preservative Chemicals
• Automatic currency cleaning machines and laboratory equipment
• On-site technician dispatch and full-service currency cleaning
• Material Safety Data Sheets (MSDS), laboratory certifications, and export documentation

3. Intended Use & Compliance Obligations

You warrant and represent that all products and services purchased from Nation Chemicals shall be used exclusively for lawful purposes including authorized currency restoration, banking operations, forensic science, and laboratory research. You agree to comply fully with all applicable laws and regulations of your jurisdiction including, without limitation, chemical import controls, customs declarations, anti-money laundering legislation, and export control regimes administered by the South African Revenue Service (SARS), International Trade Administration Commission (ITAC), and equivalent authorities in the destination country. Nation Chemicals reserves the right to refuse any order which, in our sole professional judgment, appears to be for an unlawful purpose or cannot be lawfully imported to the requested destination.

4. Pricing, Payment & Taxes

• All prices are quoted in United States Dollars (USD) unless otherwise stated on the proforma invoice.
• Prices are exclusive of customs duties, import VAT, destination country taxes, freight insurance, and courier brokerage fees — all of which are the responsibility of the purchaser.
• Accepted payment methods: Bank wire transfer (SWIFT/TT), Bitcoin/USDC escrow, verified Western Union/MoneyGram for qualifying repeat clients.
• Payment terms for new clients: 100% payment in advance (PIA). Established corporate clients with approved credit facilities: net 14 days from invoice date.
• Late payment accrues simple interest at 2% per month or the maximum rate permitted by applicable law, whichever is lower.

5. Shipping, Delivery & Risk of Loss

Standard shipping terms are EXW Johannesburg (Incoterms 2020). Risk of loss, damage, and title passes to the buyer upon handover to the nominated carrier. Nation Chemicals arranges:

• DHL Express / FedEx Priority: 2–7 business days transit (most destinations)
• Diplomatic unmarked courier service: 5–10 business days for sensitive consignments
• Handling time: 1–2 business days after cleared funds received
• All shipments include UN 3082 / UN 1719-compliant packaging, SDS, and export customs documentation

Worldwide shipping to 20+ countries as listed in our MerchantReturnPolicy schema. Tracking numbers are provided by email and WhatsApp within 24 hours of dispatch.

6. Returns, Refunds & Product Guarantee

Nation Chemicals offers a 14-day no-questions-asked return policy on all sealed, unused products in original packaging, subject to the following conditions:

• Product must be postmarked within 14 calendar days of delivery receipt
• Opened or partially used products are non-returnable due to chemical safety and purity control requirements
• Refunds are processed to the original payment method within 3–5 business days after inspection of returned goods at our Johannesburg facility
• 100% Cleaning Guarantee: If our recommended product combination (SSD Solution + Activation Powder + Vectrol Paste) does not achieve documented results when used strictly according to our written technical instructions, we will re-ship replacement product at no charge or issue a full refund at your option. This guarantee is valid for 60 calendar days from delivery and requires written photographic/video evidence of the failed cleaning attempt per our technician-guided protocol.

7. Limitation of Liability

To the maximum extent permitted by South African law and all applicable destination laws, Nation Chemicals' total aggregate liability under or in connection with these Terms (whether in contract, delict/tort, strict liability, or otherwise) shall in no circumstances exceed the total amount actually paid by you to Nation Chemicals for the specific product or service that gave rise to the claim. In no event shall Nation Chemicals be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, loss of data, or cost of substitute chemicals, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.

8. Confidentiality & Non-Disclosure

Both parties agree to keep strictly confidential all non-public information exchanged in the course of the commercial relationship including, without limitation, client identities, order details, pricing, technical formulations, laboratory processes, and on-site service locations. This confidentiality obligation survives termination of any contract for a period of 10 years. Client-facing staff are bound by signed NDAs and biometric access controls are enforced at all laboratory and warehouse facilities.

9. Intellectual Property Rights

All content on nationchemicals.co.za including text, graphics, logos, icons, images, video reels, product photography, technical documentation, and the selection and arrangement thereof is the exclusive property of Nation Chemicals SA (Pty) Ltd and is protected by South African copyright law, the Berne Convention, and applicable international IP treaties. The "Nation Chemicals" wordmark, stylized N logo, "Restoring Value. Protecting Privacy." tagline, and "Vectrol" product name are registered or pending trademarks. You are granted a limited, revocable, non-exclusive, non-transferable license to display and print pages from this website solely for the purpose of evaluating or ordering products or services from Nation Chemicals. No commercial reproduction, framing, or scraping is permitted.

10. Dispute Resolution & Governing Law

• Governing Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of South Africa.
• Amicable Resolution: The parties shall first attempt to resolve any dispute through good-faith negotiation between senior management for a period of 30 calendar days before initiating formal proceedings.
• Mediation & Arbitration: Any unresolved dispute shall be submitted to binding arbitration administered by the Arbitration Foundation of Southern Africa (AFSA) under its Commercial Arbitration Rules, in the English language, seated in Johannesburg, before a single arbitrator jointly appointed. The award shall be final and binding and enforceable in any court of competent jurisdiction.
• Consumer Protection: Nothing in this arbitration clause deprives a natural person consumer of the right to refer a dispute to the relevant consumer protection court or ombudsman where jurisdiction is mandatory under the Consumer Protection Act, 2008 (South Africa) or equivalent non-waivable local legislation.

11. Website Acceptable Use

You agree that when using our website you will NOT:

• Violate any applicable local, national, or international law or regulation
• Engage in any automated data collection (scraping, bots, crawlers) that exceeds the rate limits of a reasonable manual user
• Attempt to gain unauthorized access to our servers, databases, admin systems, or CMS
• Introduce viruses, trojans, worms, logic bombs, ransomware, or any other technologically harmful material
• Reproduce, duplicate, copy, resell, or frame any part of our website in breach of our IP rights above
• Submit any enquiry or form containing false, defamatory, offensive, harassing, or unlawful content

12. Material Safety & Handling

All chemical products are industrial-grade and must be handled exclusively by trained personnel wearing appropriate personal protective equipment (nitrile gloves, eye protection, lab coat, fume extraction). Detailed hazard information, first-aid measures, fire-fighting recommendations, and accidental release procedures are provided in the Material Safety Data Sheet (MSDS/SDS) supplied with every shipment and available on request prior to purchase. Keep all products out of reach of children and pets. Use only in well-ventilated areas away from sources of ignition or food preparation.

13. Severability & Entire Agreement

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be deemed severed and the remaining provisions shall continue in full force and effect. These Terms together with the countersigned proforma invoice, MSDS, and our published Privacy Policy constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements, whether written or oral, relating to their subject matter.

14. Amendments

Nation Chemicals reserves the right to amend these Terms of Service at any time by posting the amended version on this page with a revised "Last updated" date. Material changes to clauses 2–9 (contract terms, pricing, shipping, returns, liability) will additionally be notified by email to active clients 30 calendar days in advance of coming into force. Your continued use of the website or services after the effective date of the amendments constitutes your acceptance of the revised Terms.
